4-Chloro-3', 4' -dimethoxybenzophenone was synthesized from o-dimethoxybenzene and p-chlorobenzoyl chloride with anhydrous aluminum chloride as catalyst and dichloroethane as solvent. High purity product was obtained by washing, distillation and recrystallization. The effects of reactant ratio, catalyst amount,reaction time ，solvent amount, reaction temperature, and recrystallization solvent amount on the yield and content of the product were studied.
